For a Minnesota filing, two statutes matter. Under Minn. Stat. § 322C.0113, every Minnesota limited liability company “shall have a registered office and may have a registered agent” — office compulsory, agent optional — in the manner prescribed by Minn. Stat. § 5.36. That section requires a business entity to “continuously maintain a registered office in this state” which “need not be the same as the principal place of business in this state.”

Opening a bank account raises a related test. Under 31 CFR 1020.220 a bank’s customer identification program must obtain, for a customer that is not an individual, “a principal place of business, local office, or other physical location” — and verify the customer’s identity. The rule sets the category and says nothing about mail agents; each bank adds its own policy, so ask yours first.
